Reseller Partner Agreement

Terms & Conditions Summary

1. Pricing & Billing

Synalux bills end customers directly. Reseller receives the difference between retail price and wholesale cost, paid monthly. Minimum retail markup is 10% above wholesale price.

2. Credit Card Residuals

Synalux receives 2% commission on credit card processing fees for the first 50 restaurant locations per reseller. After 50 locations, all credit card residuals belong to the reseller.

3. Support Responsibilities

Resellers provide Tier 1 support to end customers. Synalux provides Tier 2 support to resellers with a 4-hour response SLA during business hours. Tier 3 escalation to Synalux engineering is available for critical production issues.

4. Territory

Sales territories are advisory and noted in your reseller profile. Synalux does not guarantee territorial exclusivity but will work in good faith to avoid conflicts.

5. Data Processing

All customer data is processed in accordance with HIPAA, GDPR, and SOC 2 Type II requirements. A separate Data Processing Agreement (DPA) is available for signing in the Documents section.

6. Termination

Either party may terminate with 30 days written notice. Upon termination, existing customer subscriptions continue with Synalux โ€” the customer relationship transfers to Synalux direct. Outstanding commissions are paid through the termination date.

7. Confidentiality

Both parties agree to maintain confidentiality of pricing, technical, and business information. A mutual NDA is available for signing in the Documents section.
